Abstract
El reconocimiento de la buena fe, elemento central del Derecho de contratos en los Ordenamientos jurídicos continentales, ha sido tradicionalmente una de las características diferenciadoras respecto del sistema inglés. Una sentencia recaída en 2013, Yam Seng Pte Ltd v International Trade Corp Ltd, parece haber revitalizado en los últimos años el debate acerca del encaje de esta figura en el Derecho contractual inglés.Tomando como punto de partida dicha resolución, el presente trabajo tiene como objeto determinar si este aparente mayor interés por la buena fe tiene reflejo en una aceptación generalizada por parte de los Tribunales. Para ello, se revisa la jurisprudencia inglesa en la que el deber de buena fe ha desempeñado algún papel en materia contractual. Así, se analizan los mecanismos a través de los que, en su caso, se ha dado entrada a esta figura (principalmente, los implied terms), intentando delimitar los supuestos en los que la buena fe tiene presencia y la intensidad y singularidades de su reconocimiento.
While good faith is a key element in the continental contract legal systems, English contract Law has traditionally been reluctant to accept it. A relatively recent decision, Yam Seng Pte Ltd v International Trade Corp Ltd, seems to have revitalised the discussion about whether that general principle fits in the English contract Law. Taking this decision as a reference, the aim of this paper is to determine the effects of this increasing interest about the good faith in the case-law. For this purpose, English decisions which recognise some role to the duty of good faith in contract Law are analysed. Mechanisms used to incorporate this general principle to the content of the contract (mainly, implied terms) are examined, trying to define the fields where good faith is in a certain way relevant and the singularities of its acknowledge.
