Medidas legislativas en el "bank-based model" para el impulso del "market-based model"

Abstract

Potenciar la financiación bancaria en un contexto de dependencia y restricción del crédito y, al tiempo, avanzar en el fortalecimiento de la extra-bancaria son los dos ejes principales de la reciente Ley 5/2015, de 27 de abril, de fomento de la financiación empresarial. Las medidas legislativas adoptadas dentro del primer eje continúan la senda avanzada por Ley 14/2013 de apoyo a los emprendedores que, además de incorporar el tratamiento prudencial bancario relativo a las exposiciones ponderadas por riesgo de crédito de las PYMES, refuerza la solvencia de las sociedades de garantía recíproca. La nueva ley sigue impulsando la garantía recíproca activando el reafianzamiento a primer requerimiento y aprovecha a unificar el disperso régimen jurídico de la titulización, sistematizándolo y flexibilizándolo de cara a su reanimación para el estímulo del crédito bancario. Desenvueltas en el marco de las relaciones contractuales bancarias se introducen dos nuevas obligaciones de las entidades crediticias: de un lado, el preaviso en caso de reducción o supresión del flujo de financiación y, de otro, la entrega de la denominada “información financiera-PYME”. Ambas procuran facilitar a las empresas de reducida dimensión la búsqueda de recursos financieros distintos de los bancarios cuando éstos disminuyen o concluyen. Promover instrumentos alternativos para minorar la intensa dependencia bancaria de nuestras pequeñas empresas es el pilar que sostiene las bases de esta nueva normativa interna. Avanzar en esta dirección para sustituir el “bank-based model” por un “market-based model” es el gran reto y prioridad que la Comisión europea plantea en el Libro Verde “Construir una unión de los mercados de capitales”, de 18 de febrero de 2015. La construcción de un mercado único de capitales en los veintiocho Estados miembros pretende ampliar el abanico de las fuentes financieras de las PYMES como mecanismo para la creación de empleo y crecimiento en Europa.

The recent Act 5/2015, of April 27, for the support of business finance, is based upon two main axes: promoting baking financial services in a context of heavy dependence and credit restriction and, at the same time, progressing in the strengthening of non-banking financial sources. Legal measures implemented within the first of these two axes follow the path previously set by the Act 14/2013 for the support of entrepreneurs, which, besides incorporating prudential control measures relating to the limitation of SMEs credit risk exposure, aims at reinforcing the solvency of mutual guarantee companies. The new Act supports mutual guarantee-based strategies by introducing the first demand re-guarantee, and unifies the up to now disperse legal framework for securitization by systematizing its rules and increasing its flexibility, with the purpose to re-activate its effectiveness and stimulating banking finance. Within the context of contractual relations with banks, two new obligations have been created for financial or credit entities. On the one hand, the need to give previous notice in case of reduction or withdrawal of financial flows. On the other, the duty to provide the so-called “SME-financial information”. Both of these obligations aim at facilitating the search of new financial sources by SMEs in case their banking channels or services are reduced or simply cut. The promotion of alternative instruments for mitigating the intense banking dependence of our SMEs is one of the basic pillars that ground the new domestic legislation. To progress along these lines for replacing the currently existing bank-based model with a market-based model is the great challenge that the European Commission has included among its priorities as presented in its Green Paper “Building a Capital Markets Union” (February 18, 2015). The construction of a capital single market in the 28 Member States intends to widen the range of financial sources for SMEs as a means for job creation and growth.
