Abstract
This paper examines the literature that studies the role 01 take-overs as a discipline device 01 managers in modern coorporations. Other alternative mechanisms 01 control are also examined. In particular, the possibility that the bank system, rather than the stock market, can be used to discipline managers, is considered.
